The Davis-Stirling Act mandates how HOA Board of Director Meetings must be conducted, sets forth the requirements in relation to both open sessions and closed executive sessions, and provides rules regarding member meetings and voting procedures.

Under the Davis-Stirling Act, the following provisions apply to HOA Board Meetings / Member Meetings:

• Association members (usually defined by a Homeowner Association's governing documents as property owners) may attend all Board Meetings, unless the Board is sitting in executive session.


• Minutes must be taken during executive session meetings (held to discuss potential litigation, contracts, disciplinary issues, private member meetings, and personnel meetings) and be made available to all members.

• Members must be allowed to speak at all open session (non-executive) meetings.

• The Board cannot take action on any business matter outside of board meetings.
